Project finance & capital structuring

Energy project finance and structuring

We arrange financing for local energy projects around their assets, cash flows and contracts. Project development is aligned with the requirements of banks, infrastructure investors and ESCO partners. The capital structure reflects project economics and the allocation of responsibilities.

01

Financial modelling and sensitivity analysis

We organise capital expenditure, operating costs, revenue and savings. We analyse cash flows and debt service capacity, then assess the impact of energy prices, generation, consumption, cost of capital and timing. This identifies the assumptions with the greatest influence on the investment decision.

02

Debt, investor equity and ESCO financing

We compare owner funding, debt, investor participation and ESCO delivery. Public funding is assessed as a potential part of the structure where suitable. EPC and PPA terms are reflected in cash flows and risk allocation; the two contracts serve different functions in the project model.

03

Project finance, SPVs and asset portfolios

We assess whether a special purpose vehicle, or SPV, and aggregation of several investments are appropriate. We define relationships between owners, consumers, investors and operators. Scale, organisational costs and the predictability of cash flows inform the choice of a project finance structure.

04

Investment materials and financial close

We organise documentation for capital providers’ due diligence and coordinate responses to their questions. We support agreement on financing, contracts and security requirements. We manage the timetable through financial close and the agreed conditions for drawing funds.

Project deliverable

A financial model, a recommended capital structure, investment materials and a list of conditions to agree with capital providers.

Zielona Wspólnota develops the project and coordinates the financing process. Banks and investors make their respective credit and investment decisions after their own assessment.

Before starting a project

Does the project need a grant?

We first assess project economics and delivery options. Public funding may form part of the structure where its conditions are met. The model shows its significance for feasibility and the consequences of changes in the amount or timing of support.

What is needed for discussions with a bank or investor?

A defined scope and asset rights, consumer data, a cash flow model, contractual assumptions and a timetable. The level of detail depends on the stage of discussions. We prepare material showing the opportunity and the conditions still to be resolved.
